Terms and Conditions

1. Parties
These terms are concluded between SC UPSTART TECH SRL ("we") and the business user ("you") ordering services through emailfirma.ro.
2. The service
We provide: .ro domain registration, DNS hosting, Google Workspace accounts and, depending on the chosen plan, a presentation website — through specialised external providers (full list on the Sub-processors page). Payment is made in advance, monthly or yearly.
Optionally, you can activate the WhatsApp Business service, through which you connect your own WhatsApp Business account and communicate with your customers from the emailfirma dashboard.
2.1 Domain registry rules
The domain is registered in your name — you are the holder of the right of use, and we buy and administer it on your behalf. Registration grants you the right to use the name, not ownership of it. Because you are the holder, you are directly bound by the rules of the registry that runs the extension, even though payment and administration go through us:
“The registry” is the institution that keeps the record of domains for an extension — RoTLD for .ro. “The registrar” is the accredited company through which registration happens. We buy through them, in your name.
- .ro — RoTLD (ICI Bucharest): registration rules and registration agreement.
- Other extensions (e.g. .com, .eu, .net, .org), when we register such a domain for you — Cloudflare Registrar, ICANN-accredited (the international organisation that coordinates domains): Domain registration agreement and the ICANN procedures for resolving domain-name disputes (UDRP and URS) — procedures reached only if someone claims your name infringes their trademark.
The summary below is indicative and does not replace the documents above. Those may be changed by the registries without our agreement.
2.2 What you may not do with the domain
Registries have a few standard usage rules, the same at any domain provider. If you use your domain for your company's activity, none of them affect you. Formally, you undertake not to use the domain registered through us for:
- illegal activities or activities contrary to public order — RoTLD may suspend a .ro domain if it is notified of an illegal action related to that name;
- infringing someone else's rights: registered trademarks, trade names, copyright. Before choosing the name, check that it does not overlap with a registered trademark (you can search for free on osim.ro). Disputes of this kind are not settled by us or by RoTLD, but between the parties;
- using the name in a way that causes confusion among users (for example, imitating another company or another website);
- phishing, malware distribution, botnets, fraud, counterfeiting, piracy or spam — for international extensions these are explicitly defined to be abusive use and lead to the domain being suspended;
- administering the domain in a way that harms the operation of the DNS (the system that links your domain name to your website and email);
- reselling the domain — RoTLD may suspend or cancel a .ro domain if there is an attempt to resell it.
RoTLD may reject an application for domain names that are indecent, in bad taste, or that could run contrary to public order.
2.3 Holder data
The data the domain is registered with (name, company/personal identification number, address, contact) must be real, complete and up to date. You tell us when something changes and we make the change at the registry.
- .ro: RoTLD may request validation of the holder's data at any time. If the data is not validated within the deadline in the notification, the domain is suspended (it stops working and can no longer be renewed) and scheduled for deletion. Validation at RoTLD is free.
- Other extensions: data must be updated within 7 days of any change, and an accuracy inquiry must be answered within 15 days. False data or an unanswered inquiry is a breach of contract and may lead to the domain being deleted, with no refund.
2.4 Suspension or loss of the domain
If you use your domain normally, for your company, the situations below practically never occur. The registry may however suspend, lock, transfer or delete a domain in edge cases: a court order, a request from the authorities, illegal use, a dispute over the name, or a technical problem affecting the operation of the DNS. These are decisions of the registry, at its own discretion — no provider in Romania can overturn them. We cannot prevent them and we are not liable for them, but we tell you the moment we find out.
What we cannot do: the fee paid to the registry for the domain does not come back if you lose the right of use. If the domain is suspended or deleted because of how you used it or the data you provided, the subscription remains due for the period already paid and is not refunded, and a new name is paid separately. To the extent it is within our power, we try to help you move your email to another domain, but we cannot guarantee recovery of the domain or of the addresses built on it.
If the domain is not renewed in time, you can lose it: after expiry it is suspended, then deleted, and for international extensions the registrar may take over, delete or sell the name.
2.5 Transfer, DNS and disputes
Three practical points, if you wonder how locked in you are:
- Transfer: for international extensions, transferring to another provider is only possible 60 days after registration (an ICANN rule) and can take up to 5 business days. We do not block transfers after that period.
- DNS: for non-.ro domains, Cloudflare requires the DNS to be kept with it — so we administer it, through your account. This is not a restriction of ours: if you want a different DNS provider, you move the domain wherever you like, and we will not stop you.
- Disputes: for .ro, RoTLD does not arbitrate disputes; mediation is attempted, after which the complainant and the holder may go to a court in Bucharest. For international extensions you accept the ICANN procedures — UDRP and URS — and the jurisdictions they provide for.
3. Payment and renewal
The subscription renews automatically at the end of the period. You can cancel at any time from the dashboard — the subscription stays active until the end of the paid period.
3.1 Cancellation and refunds
Cancellation: at any time, from dashboard → Settings → Billing → Cancel subscription (the cancellation is completed in the secure Stripe portal). Cancelling stops the automatic renewal; the service stays active until the end of the already-paid period (monthly or yearly).
Refunds:
- The .ro domain and the Google Workspace licences: they are purchased and paid in advance to external providers when the service is activated, so they cannot be refunded after the domain has been registered or the accounts have been created.
- Before activation: full refund on request by email at [email protected], if the service has not been activated (the domain has not been registered, the accounts have not been created).
- After activation: amounts already paid are not refunded. Cancelling stops the automatic renewal, and the service stays active until the end of the paid period (monthly or yearly).
What happens to your data after cancellation: the mailboxes remain accessible until the end of the paid period. After that, the Google Workspace accounts are suspended (data kept for 30 days), then deleted. Invoices are kept for 5 years, in accordance with the financial-accounting legislation. Account data (PII) is anonymised at your request.
4. Right of withdrawal (consumers)
Under Romanian Government Emergency Ordinance no. 34/2014 (OUG 34/2014), for digital services performance begins with your express consent — after activation, the 14-day right of withdrawal no longer applies. For B2B entities this clause does not apply.
5. Liability
Our maximum liability is limited to the amount invoiced over the last 12 months. We are not liable for outages caused by our sub-processors (full list on the Sub-processors page) or by force majeure.
6. Changes
We notify you by email at least 30 days before significant changes. Older versions remain available on request.
7. Disputes
Governing law: Romanian law. Competent courts: the courts at our registered office. Before any dispute, we encourage you to write to us at [email protected].
